Service Agreement
Effective date: 2026-04-02
This Service Agreement applies between the Client and Beijing Zehuan Kai Trading Co., Ltd. for mobile application and game services.
1. Scope of Services
Includes project managed operation, software development, monetization strategy, testing and deployment across global app stores.
2. Development Standards
Code quality follows industry best practices with version control, unit & integration tests, and code review. Platform-specific compliance is enforced for Google Play and App Store.
3. Developer Policy Alignment
- Feature and data security requirements to meet app store policies.
- Privacy and user consent flows for GDPR, CCPA, PIPL, and other regulatory standards.
- Age rating and content requirements adjusted per region.
4. Business Cooperation Model
Our business cooperation is structured in three main ways:
- Managed Service Agreement — company provides complete project operation including localization, UA, analytics, and maintenance.
- Development Service Agreement — company acts as an outsourced R&D partner delivering feature implementation, testing and deployment.
- Joint Operation & Revenue Share — company and partner collaborate on self-developed IP, revenue share in ads, subscriptions and in-app sales.
Each cooperation path includes:
- Scope definition and milestone-based release plan
- Legal compliance with Google Play/App Store and privacy rules
- Performance KPIs and monthly reporting
- Confidentiality and IP clauses for data/assets
5. Dispute Resolution
For business or legal disputes, the process is:
- Issue escalation and 30-day negotiation period
- Third-party mediation by a mutually agreed arbitration center
- If unresolved, arbitration in Beijing, PRC under Chinese law
6. Monetization & Revenue Model
Supports in-app purchases, subscriptions, recommended item bundles, ads mediation, and upper-tier VIP. We define audit procedures for platform financial reporting.
5. Delivery & Acceptance
Milestones and sign-off criteria are documented in project contract. Bugs are addressed per severity, with 30-day support window post-launch.
6. Intellectual Property
Client owns final deliverables except third-party licensed components. We provide code package and documentation per project phase.
7. Liability and Termination
Liability limited to contract fees; termination requires 30 days written notice. Data retention and handover obligations are defined in client contract.
